Liquid Agile – Foundation & Governance (DRAFT)

Part 1: Non-Profit Bylaws
§1 Name and Form
Liquid Agile is a non-profit association (“forening”) organized under Danish law (NOT YET REGISTERED – in reality we are a meetup group with a web-page – and want to keep it simple).
§2 Purpose
The purpose of the association is to advance open, practical methods for strategy, agility, and organizational development by enabling open contribution, open sharing, and community-driven learning. The association operates on a non-profit, non-commercial basis.
§3 Principles
- Membership is open to individuals and organizations.
- Contributions and materials are shared openly under the association’s selected open licence (CC-BY 4.0).
- The association does not conduct commercial transactions, collect fees, or hold financial assets.
- Expenses related to activities are handled privately between members without involvement of the association.
- Participation is voluntary.
- The community is self-organizing; members collaborate and structure activities autonomously within the purpose and principles of the association.
§4 Membership
Membership is granted upon sign-up.
Members may resign at any time by notification.
A member may be excluded for breach of the contribution and use terms.
§5 Community Lead
- The Community Lead serves as the primary steward of Liquid Agile and holds the rights and responsibilities defined by the association.
- The Community Lead may, at any time and in full capacity, transfer the role to another member.
- If the Community Lead becomes permanently unable to serve, the community appoints a new Community Lead who assumes the same rights and responsibilities.
- The Community Lead operates within the non-profit purpose and principles of the association and ensures continuity of its mission.
§6 Governance
The association is governed by:
- General Assembly, held once annually, physically or online.
- Board, consisting of at least three members: Community Lead (Chair), Secretary, and optional Treasurer.
The Board’s role is limited to maintaining bylaws, administering memberships, managing the contribution licence, and representing the association. The Board has no financial authority.
§7 Liability
The association does not assume liability for how materials or methods are used. No member, Board member, or contributor is personally liable for the association’s activities.
§8 Dissolution
The General Assembly may dissolve the association by simple majority.
As the association holds no assets, dissolution leaves no financial distribution.
Part 2: Contribution & Use Terms
By contributing to or using the materials of Liquid Agile (“the Community”), you agree to the following:
1. Licence
All materials produced by the Community are shared under Creative Commons Attribution 4.0 International (CC-BY 4.0).
You may use, modify, and share materials commercially or non-commercially, provided attribution is maintained.
2. Contribution Rights
By submitting or sharing a contribution, you grant the Community and all users a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and share your contribution under the same licence.
You confirm you own the rights to what you contribute.
3. Asset Stewardship
Each contribution or shared asset has a named editor responsible for its upkeep. The editor is expected to engage with feedback and maintain the asset’s relevance. Assets without active stewardship may be removed by the community. Editors may also withdraw their assets at their discretion.
4. No Fees or Transactions
The Community does not collect money, charge fees, or handle transactions.
Any costs between members occur privately.
5. No Warranty
All materials are provided “as-is.”
There is no guarantee of correctness, completeness, or fitness for purpose.
6. Liability Limitation
Neither the Community nor its members are liable for any direct or indirect damages arising from use of the materials.
To the fullest extent permitted by law, you waive the right to bring claims for ordinary negligence.
7. Conduct
Members must respect the collaborative and open nature of the Community.
Violation of these terms may result in exclusion.
8. Accreditation and Certification
Accreditation within the Community is based on apprenticeship and trust. Circles around a given asset may certify individuals as they find appropriate. Certifications must be free to hold but may rely on training offered privately outside the Community. Each certification is backed by the individual who issued it; if that person loses trust, any certifications they have conferred—directly or indirectly—lose their standing.
Part 3: CC-BY 4.0 Licence Declaration
All content, materials, methods, templates, and documents produced by Liquid Agile are licensed under CC-BY 4.0 International.
Required Attribution Example:
“Based on materials from Liquid Agile (CC-BY 4.0)”
This applies to all internal and external use, business or personal.
Part 4: Sign-Up Text (for Members)
By joining Liquid Agile, I accept the Contribution & Use Terms (CC-BY 4.0) and agree to participate in the community under its open, self-organizing principles.
Part 5: Minimal GDPR / Data Protection Notice
Liquid Agile collects the following personal data for membership purposes:
- Name
- Link to more information
Purpose: Membership communication and community coordination.
Sharing: This information will appear on the members part of the community portal.
Rights: Members can request deletion or unsubscribe at any time by contacting the Community Lead.
Storage: Data is stored securely and used only for community purposes.

Part 6: Optional Role Description (Community Lead)
Responsibilities:
- Steward the mission and purpose of Liquid Agile
- Represent the association externally
- Maintain continuity of governance
- Manage and uphold Contribution & Use Terms and licence
- Facilitate self-organizing activities
Authority:
- Can transfer the role to a willing member at any time
- Can nominate or approve a replacement if permanently unable to serve
